Cummings, McClorey, Davis & Acho provides a wide range of business and consulting services. These include entity selection, shareholder or partner relationships, analysis of the existing structure with other related business ventures of the parties, and management and consulting services to be provided by the key members. Included in the representation of the ongoing business entity, we advise on regular matters including the development of business plans for future growth, employment relationships with key personnel and staff personnel, consulting agreements with outside consultants and retaining of outside consultants for special representations and projects for existing clientele.

During the development mode of the business entity, we are frequently involved with mergers and acquisitions of other targets for a client, financing an expansion of operations, including new product lines, new facilities or new ventures. This necessitates negotiations with traditional banking sources and non-traditional private lenders. From a transactional perspective this also includes an active involvement in the real estate markets for both purchase and lease.

We consult with our clients and other professionals as to appropriate or tax advantageous benefit programs for employees, including key officers and personnel. We structure business relationship to expose opportunities under the U.S. and state tax laws.

We regularly address shareholder issues, including derivative lawsuits, oppression of minority shareholder claims and other disputes between shareholders or partners of a venture.

Our Firm is involved with the compliance requirements, business reorganization, recapitalization, corporate finance and bankruptcy matters. Our attorneys have substantial experience in negotiating with creditors and the defense of lawsuits when winding down a business and terminating relationships with vendors and creditors. Further, we have experience in collecting amounts owed to our clients as creditors, including garnishment and attachment proceedings, foreclosures on real and personal property, voluntary surrenders in lieu of foreclosure, termination of tenancies and other creditor right programs.

In planning for retirement of founding members and key personnel, we are involved with estate and succession planning for the business and the owners transferring control of a closely held business and value to succeeding generations.

In addition, our Firm has experience as a regular commercial law practice principally consisting of representation of business owners and claims brought against them by other competing business interests, employees, former employees and former shareholders. The breadth of representation includes trademark infringement, wrongful termination and use of confidential information.
