Summary of Experience
Gerald C. Davis, has practiced over 30 years, 25 of which he has been lead counsel for the acquisition of assets and business of Fortune 500 Tier 1 suppliers to the automotive industry from feasibility analysis, due-diligence review, and contract negotiations. Mr. Davis has also represented banks, major credit companies and large stock brokerage firms. His main area of practice is transactional law effecting mergers and acquisitions, leveraged buy-outs, company reorganization and refinancing; analyzing investments for joint ventures, intellectual property, and drafting loan agreements. Mr. Davis is experienced in work outs involving loan structures, asset relocation, payment restructuring, re-securitization of loans and collection strategies and documentation of secured transactions. In addition, his administrative agency practice includes representation of clients in matters involving the Securities & Exchange Commission, New York Stock Exchange, National Association of Securities Dealers, Commodities Future Trading Commission and state agencies related to commerce, corporations and securities. He received his Bachelor of Business Administration, cum laude from Detroit Institute of Technology in 1966 and his Juris Doctorate from the University of Detroit Law School in 1972 and is a member of the Michigan Bar.
